Terms of Service
These Terms of Service ("Terms") govern your access to and use of the website and platform operated by ClientFlow LLC, doing business as ClientFlow CPA ("ClientFlow," "we," "us," or "our"), located at clientflowcpa.com (the "Service"). By registering for or using the Service, you agree to these Terms.
1. Description of Service
ClientFlow CPA is an AI-assisted client acquisition platform for CPA firms, accounting firms, tax preparation offices, and enrolled agents. Registered firms select the services they want new clients for, define a target market, radius, and capacity, and receive matching client inquiries ("Opportunities") through the platform. Firms are billed only for inquiries that are fulfilled according to their configured campaign.
Prototype notice: the version of the Service you are currently viewing is a product prototype and design demonstration. Opportunities, market statistics, and inquiry data shown are illustrative and generated locally in your browser; no live inquiries are exchanged and no charges are processed.
2. Eligibility
The Service is intended for licensed or otherwise qualified accounting, tax preparation, and advisory professionals operating a business in the United States. By creating an account, you represent that you are authorized to act on behalf of the firm you register and that all information you provide is accurate and current.
3. Account Registration
You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. Notify us immediately at contact@clientflowcpa.com of any unauthorized use of your account.
4. Fees & Billing
- ClientFlow operates on a pay-per-fulfilled-inquiry model. You are charged only when a qualified inquiry matching your active campaign filters is delivered to your opportunity stream.
- Standard-tier inquiries are billed at an example rate of $35 per fulfilled inquiry; Premium-tier inquiries are billed at a higher rate reflecting tighter match criteria, as shown in your campaign settings at the time of purchase.
- You may set daily, weekly, and monthly capacity limits; you will not be billed beyond your configured monthly limit.

5. Acceptable Use
You agree not to: (a) misrepresent your firm's identity, credentials, or services offered; (b) use the Service to collect information for any purpose other than legitimate client acquisition; (c) attempt to reverse-engineer, scrape, or interfere with the Service's normal operation; or (d) use the Service in violation of applicable law, including consumer protection and telemarketing/communications laws.
6. Intellectual Property
The Service, including its design, branding, software, and content, is owned by ClientFlow LLC and protected by intellectual property laws. You are granted a limited, non-exclusive, non-transferable license to use the Service for its intended business purpose. You retain ownership of information you submit about your firm.
7. Disclaimers
The Service is provided "as is" and "as available" without warranties of any kind, express or implied, including fitness for a particular purpose, merchantability, or non-infringement. We do not guarantee any specific volume of inquiries, conversion rate, or business outcome.
8. Limitation of Liability
To the maximum extent permitted by law, ClientFlow LLC and its officers, employees, and affiliates will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenue, arising from your use of the Service.
9. Termination
You may cancel your account at any time by contacting contact@clientflowcpa.com. We may suspend or terminate access to the Service for violation of these Terms, non-payment, or fraudulent activity.
10. Governing Law
These Terms are governed by the laws of the State of California, without regard to its conflict-of-laws principles. Any disputes arising from these Terms or the Service will be subject to the exclusive jurisdiction of the state and federal courts located in Sacramento County, California.
11. Changes to These Terms
We may update these Terms from time to time. Material changes will be reflected by updating the "Last Updated" date above. Continued use of the Service after changes take effect constitutes acceptance of the revised Terms.
